These Terms of Service ("Terms") are an agreement between [HomeCareIntent legal entity] ("HomeCareIntent," "we," "us") and the business entity you represent ("Customer," "you"). By creating an account, purchasing a subscription, or using the Services, you agree to these Terms and to the Data Terms, which are incorporated by reference. If you accept on behalf of a company, you represent that you have authority to bind it.

HomeCareIntent is an independent company and is not affiliated with or endorsed by any government agency.

1. The Services

HomeCareIntent provides home care market intelligence: information derived from public records and third-party sources about home care organizations, changes detected in those records, analysis, scores, alerts, and related software (the "Services"). The Services are for business use only.

2. Accounts

  • You must provide accurate information and keep credentials confidential. You are responsible for activity under your workspace.
  • Each user seat is for one named individual. Seats may not be shared.
  • Workspace owners control member access. We may rely on instructions from the workspace owner or admins.
  • You must be at least 18 years old and using the Services for business purposes.

3. Subscriptions, billing, and renewal

  • Plans and limits. Your plan determines the jurisdictions, users, saved markets, export allowances, and features available to you, as described on our pricing page at the time of purchase. "Unlimited" features are subject to reasonable fair use.
  • Jurisdictions. Plans include only jurisdictions designated "LIVE" on our coverage page. Coverage, source availability, and update frequency vary by jurisdiction and may change.
  • Billing. Subscriptions are billed in advance, monthly or annually, through our payment processor. Prices exclude taxes unless stated.
  • Automatic renewal. Subscriptions renew automatically for the same term at then-current prices unless canceled before the renewal date. We will notify you in advance of price changes that affect your renewal.
  • Promotional pricing. Promotional or introductory prices apply only for the period stated (for example, the first month) and then renew at the standard price.
  • Changes. Upgrades take effect immediately with prorated charges. Downgrades take effect at the end of the current billing period.
  • Cancellation. You may cancel anytime; access continues through the end of the paid period. Fees are non-refundable except where required by law or as we decide at our discretion.
  • Failed payments. If payment fails, we may restrict features after a grace period and suspend access if payment is not resolved.

4. Acceptable use

You will not, and will not allow anyone to:

  • Use the Services in violation of the Data Terms, including any prohibited purpose listed there.
  • Scrape, crawl, or bulk-download the website or Services, or circumvent rate limits, export limits, or access controls.
  • Resell, sublicense, or redistribute data from the Services except as the Data Terms allow.
  • Reverse engineer the Services, except as permitted by law.
  • Access the Services to build a competing product or dataset.
  • Introduce malware, probe for vulnerabilities without written permission, or interfere with the Services.
  • Use the Services to send unlawful communications or harass any person.

We may suspend or terminate access for violations.

5. Data, accuracy, and sources

  • Information in the Services is derived from public records, government sources, and third-party providers, and from our own analysis. Public sources may be incomplete, delayed, or wrong, and our processing may introduce errors.
  • No warranty of accuracy. We do not guarantee that any information is accurate, complete, or current. Scores, interpretations, and suggested sales angles are our analysis, not facts, and are clearly labeled as such.
  • Not advice. The Services do not provide legal, regulatory, medical, financial, or compliance advice.
  • Corrections. Anyone may report inaccurate information using the "Report incorrect data" feature or [support@homecareintent.com]. We review reports in good faith and preserve source history.

6. Customer data

"Customer Data" means information you submit to the Services (for example, saved markets, notes, feedback, and account details). You own Customer Data. You grant us a license to host and process it to provide and improve the Services. We may use aggregated, de-identified information about use of the Services (for example, signal usefulness rates) to improve our products, provided it does not identify you or your users.

7. Intellectual property

We and our licensors own the Services, including software, databases, compilations, derived data, scores, and content. Subject to these Terms and your payment, we grant you a non-exclusive, non-transferable right during your subscription to use the Services and data as permitted by the Data Terms. Feedback you provide may be used by us without obligation.

8. Third-party services

The Services integrate with third parties (for example, payment processing). Their terms govern your use of them. We are not responsible for third-party services.

9. Confidentiality

Each party will protect the other's non-public information disclosed under these Terms with reasonable care and use it only to perform under these Terms.

10. Disclaimers

THE SERVICES AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR ANY PARTICULAR UPDATE FREQUENCY.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, YOUR BREACH OF SECTION 4 OR THE DATA TERMS, OR A PARTY'S INDEMNIFICATION OBLIGATIONS. [Counsel to review caps and carve-outs.]

12. Indemnification

You will defend and indemnify HomeCareIntent against third-party claims arising from your use of the Services or data in violation of these Terms, the Data Terms, or applicable law (including laws governing calls, texts, and emails).

13. Term and termination

These Terms apply while you use the Services. Either party may terminate for material breach not cured within 30 days of notice. We may suspend immediately for security risks, non-payment, or violation of Section 4 or the Data Terms. On termination, your right to use the Services ends; Sections 5–7 and 9–15 survive. Data exported during an active subscription remains subject to the Data Terms.

14. Changes to the Services and Terms

We may modify the Services. We may update these Terms with notice by email or in-app; material changes take effect at your next renewal unless required sooner by law. Continued use after the effective date means you accept the changes.

15. General
